Migration, Amalgamation & Restoration

The guidance notes and forms on this page relate to the amalgamation of two or more companies, migration of companies into or out of Guernsey and restoration of companies to the Register.
Submissions to amalgamate, migrate or restore companies must now be made via the online services portal. We are working to update the guidance below accordingly.
Migration into or out of Guernsey
Companies can apply to migrate (transfer their registration) into or out of Guernsey. Applications for migrations should be made using the below forms (and must include the required documentation). For migrations out of Guernsey a notice must be published on the Registry website for 28 days before the migration can take effect.
Applications to migrate in or out of Guernsey can only be made by a Corporate Service Provider.

Amalgamation
Companies can apply to amalgamate with one or more other companies and continue as one of the amalgamating companies or a new company. An application for amalgamation should be made using the below form (and must include the required documentation).
A notice must be published on the Registry website for 28 days before an amalgamation can take effect.

Restoration
A company which has been struck off of the register in the last 10 years (unless it was struck off under section 519 - persistent or gross contraventions) can apply for restoration to the register.
In most cases an application must be made to the Court for an order restoring the company to the register, but in some very limited cases can be restored by the Registrar without the need for a Court Order.
