Independent legal advice is advised where there is any uncertainty.

If the limited partnership is to have legal personality (see section 9A of the Limited Partnerships (Guernsey) Law, 1995), the general partners must also declare that the limited partnership shall have legal personality (this is an option in the 'limited partnership type' field on the online registration form). They must also provide the Particulars of Governance template available to download above.

In addition, if the limited partnership is to have legal personality, beneficial ownership information must be provided on registration using the 'Beneficial ownership manual data capture form' available here: Beneficial Ownership Guidance.

Please note: It is only possible to declare that a limited partnership shall have legal personality during the registration process. It is not possible to make that declaration once the limited partnership has been registered.

For full details of the requirements to register a limited partnership in Guernsey please refer to the Limited Partnerships (Guernsey) Law, 1995 and, if applicable, seek professional advice.
