Change of Particulars

Limited partnerships are administered by Guernsey Registry on behalf of Her Majesty's Greffier.

Guernsey limited partnerships (LPs) must notify the Greffier (c/o the Guernsey Registry) if there is a change to any of the particulars stated in section 8(2)(d) of the Limited Partnerships (Guernsey) Law, 1995. Those particulars are:

-  Name of the limited partnership

-  Nature and principal place of its business

-  Registered office address

-  Name and address of general partner

-  Term for which the partnership is entered into and the date of commencement of that term.

Notice of a change to any of these particulars must be sent to the Registry within 21 days of the change occurring. The notice must be signed by the general partner.

Where the change is to the limited partnership's name or registered office, the change shall not be effective until a new certificate of registration has been issued.

There are no set forms for limited partnership change of particulars. Change of particulars notices can be submitted via the This submission can be made via the Online Services Portal. The filing fee can be paid by credit/debit card or Registry credit account.
