Directors & Resident Agents

All Guernsey companies must have at least one director at all times. A resident agent is also required (some exemptions apply, see resident agent guidance below).

All directors, resident agents and beneficial owners, managing officials of charities and NPO's, Foundation officials and LLP members must be registered with the Guernsey Registry before they can be appointed on the system. Once registered, this does not link the person automatically to a company, charity, Foundation or LLP; the relevant online submission must be made once they are registered.

Changes to directors or resident agents

Any changes to the directors/resident agent must be notified to the Registry using the online system within 14 days of the change occurring using the 'Add/Remove Director/Resident Agent' form under 'New Filing - Submit Entity Filings' tab.

If the directors/resident agent service address changes you must notify the Registry using the online services portal and filing a 'Change Director/Resident Agent Service Address' form. 

If any of your personal details (residential address, name, etc.) change you must notify the Registry using the online system and filing a 'Change Registered Person Details' form under 'New Filing - Create a New Entity'. 


Requirements relating to directors & resident agents

The resident agent of a company is required to keep details of the beneficial owners of the company.

Only a Guernsey resident individual director of a company, or a Corporate Service Provider may act as the Resident Agent.

In addition, there are certain requirements relating to the number of directorships held by an individual (see guidance below).
