Transitional Provisions

At its meeting on 7 May 2015, the Commerce and Employment Department Board agreed to extend certain transitional provisions under the Companies (Transitional Provisions) Regulations, 2008 (relating to the Companies (Guernsey) Law, 2008) until 31 December 2016.

The provisions were extended as the Registrar and the Board were aware of a number of companies that held back on making any amendments to their memoranda and articles as a result of the 2008 Law until the amendments to that Law were finalised.

It may not be strictly necessary for pre-2008 companies to amend their memorandum and articles upon expiry of the remaining time limited transitional provisions, however the directors should review their articles to satisfy themselves that the company will not be adversely affected by the expiry of the transitional provisions.
