How do I incorporate a company ?
Company incorporations can be applied for online through the Registry website and must be completed by a Corporate Service Provider (CSP). A list of CSPs, with full fiduciary licences, that are willing to act solely as company formation agents is available to download at the bottom of this page.
In addition to the application made through the online services portal a company founding member must submit a memorandum of incorporation, which states that the founding member(s) wish to incorporate the company in Guernsey, and articles of incorporation, which set out regulations for the conduct of the company. Templates of these documents are available for download at the bottom of this page.
The application must also be accompanied by the appropriate incorporation fee, which starts at GBP 100 but varies depending on the speed of incorporation. CSPs will also charge their own set of fees (which again will be variable).
Incorporations will take a maximum of one day to be completed and for a fee, 15 minute and 2 hour incorporations are also available. Readymade/shelf companies are not available through the Guernsey Registry, but company names can be reserved by a CSP.
Company names must be chosen carefully so that it complies with the Companies (Guernsey) Law, 2008. A guidance note regarding the naming of companies is available to download below.
