In order to create a limited company in the Bailiwick of Guernsey, an application for incorporation and registration must be made to the Guernsey Registry. 

Applications can only be made by GFSC fiduciary licensed corporate service providers who will undertake the necessary AML/CFT customer due diligence.  A company can only be incorporated as a cell company if it has the written consent of the Commission.

An application for incorporation must include:-

  • The name of the company

  • Its type and liability form

  • The memorandum and articles of incorporation (together forming its regulating powers)

  • Its registered office address (this must be in Guernsey)

  • Name and service address of directors

  • Name and address of founder member/shareholder or guarantee member

  • Statement of initial share capital or initial guarantee amount

  • Details of the first resident agent of the company

Upon receipt of a valid application the Registrar shall register the company, a registration number will be allocated, and the name and number will be added to the electronic Company Register (available to view online 24 hours a day).  A certificate of incorporation will be issued to the company detailing its registered name, number and the date of registration.  A copy of the incorporation certificate and the Memorandum and articles will be filed and stored electronically at the Guernsey Registry.
